"Connect:hr and connect:dt" terms and conditions

1.	Conclusion of the contract and requirements
These terms and conditions apply to all function modules of the connect: product range in the context of use of the connect:portal web portal. When purchasing or renting components, hereinafter referred to as "Hardware", the user accepts the following terms and conditions relating to use of the connect: service that forms the object of this contract and the web portals required for this purpose.  These web portals allow the user to remotely access certain data relating to an industrial truck, hereinafter referred to as "the Truck", which is equipped with the Hardware. For the purpose of these terms and conditions, the user is the company that registers its designated employees in the Linde web portal in accordance with item 2. "User" may refer to the owner or operating company of the Truck that is equipped with the Hardware and/or the Linde dealer selling or renting the Truck to the operating company, or providing services for the Truck. The Linde dealer assumes full responsibility for ensuring that it is authorised to access the Truck data by the owner or operating company. 

A prerequisite for use of the connect: service is that the user must have an Internet connection in order to access the Truck data that is made available online. Linde provides the connect:portal web portal required to use this service free of charge for five years. If data is to be transferred via radio communication (e.g. via GPRS), there must also be sufficiently strong radio communication between the Truck and the Linde central database server at the Truck location.

2.	Access codes
After purchasing or renting the Hardware, the user can independently create an account via the connect:portal web portal and register the Hardware. In this web portal, the Truck data is visible to registered users.
The user agrees that he and any other authorised users will keep the access code(s) secret. In the event that an access code is lost or stolen, the user is required to inform Linde immediately.
The user is solely responsible to Linde for the use of these access codes and is not entitled to provide these codes to anyone other than the authorised persons. Linde is not liable in the event of access by persons other than the authorised persons.
In cases where the user does not comply with this obligation, Linde reserves the right, in addition to the right to block access to the web portal, to terminate the contract for cause and without notice.

3.	Ownership and usage rights
The web portal and the connect: service database software is the exclusive property of Linde and/or its licensors. The portal and the software are copyrighted and may only be used by the user in accordance with the conditions of use outlined in item 4.
The SIM card located in the Hardware remains the property of Linde. It may not be used by the user after the end of the contract, and must be returned unsolicited to Linde or destroyed upon request.

4. 	Conditions of use
By purchasing or renting the Hardware, the user obtains, for a period of five years, a non-exclusive right, subject to geographical restrictions and for a limited duration, to use the connect: service that is the object of this contract for the Truck that is equipped with the Hardware. Use beyond that provided for by this contract, or transfer of the connect: service or of the SIM card and any components that are not the property of the user to another party, is not permitted. Decompiling, supplementing or modification of the connect: service database software in any other way is not permitted unless authorised by law. Reproduction and dissemination of the software is also prohibited.
Any use of the connect: service that deviates from these conditions of use is only permitted with the written consent of Linde. For security reasons, Linde reserves the right to temporarily block access to the web portal or to alter the access code at any time. Linde also reserves the right to suspend the connect: service at any time if the user uses any mobile radio services that may compromise system integrity.
This contract may also be terminated by Linde for cause and without notice in the event of non-compliance with any provision of these conditions of use by the user.

Linde provides the web portal for the user's use without any form of warranty for material defects or deficiencies and accepts no liability for any damages resulting from the use thereof, unless the result of intent or fraud where liability must be accepted by law. Linde is not obliged to further develop the connect: service database software or to provide users with updates or new releases. If Linde does provide updates or new release levels, no further obligations will arise for Linde as a result.

5.	 Data access by Linde
The Truck data remains the property of the owner or the operating company of the Truck and remains at the owner/operating company's disposal or at the disposal of the user, regardless of the location of the Linde central database server. Linde and its subcontractors are entitled to evaluate and use any technical data and Truck information that is available on the web portal for statistical purposes and to improve hardware and software functionalities. This data must be used in an anonymised format. If the user does not own the Truck for which data is made available, the user assumes full responsibility for ensuring that the owner agrees to Linde's access to the data. If the user requires non-anonymous evaluations or customer-specific evaluations, these will be governed by a separate agreement with Linde.

6. Data protection
The parties hereby undertake to comply with the applicable data protection rules and any special legal provisions. The user is solely responsible for complying with data protection legislation and any co-determination legislation with regard to the collection, processing and use of personal data in connection with use of the web portal and the connect: service database software. In cases where the user has commissioned Linde or a company associated with Linde to evaluate personal data in connection with use of the web portal and the connect: database software, the user must ensure that the relevant requirements under data protection legislation and, where applicable, co-determination legislation are met; this may include such measures as the conclusion of a data protection agreement (e.g. in relation to order data processing or the EU standard contractual clauses with the corresponding annexes 1 and 2). The relevant body responsible under data protection legislation is liable for any violations of data protection rules. 

7. Confidentiality
Linde hereby undertakes to maintain the confidentiality of any internal business data and user information to which it gains access during performance of the contract and which is identified as confidential or which is obviously confidential although not identified as such. Linde also undertakes to refrain from passing such data on to third parties. 

8. 	Liability
Linde is not liable for the permanent availability of data from the connect: service via the mobile radio and Internet connection or for the availability of data from the connect: service for the intended use by the user.
Linde cannot be held liable for damage or loss suffered by the user or the owner or operating company of the Truck as a result of unavailable or erroneous data in the connect: service.
The above exclusions do not apply in cases of wilful intent on the part of Linde.
In the event that any of the provisions in these terms and conditions are breached, the user is fully liable for any ensuing damages to Linde that arise directly or indirectly from the breach of these conditions and shall indemnify Linde against any such third-party claims.
The user is responsible for regularly backing up their Truck data. In the event of a data loss caused by Linde, Linde therefore accepts liability only for the cost of copying the data from the backup copies created by the user and for restoring the data that would have been lost even with a standard data backup procedure.

9.	Term of contract and termination 
The contract is concluded for a period of five years (60 months). The contract must be extended in advance in writing.

10. 	Applicable law and jurisdiction
German law applies to this contract. The UN Convention on Contracts for the International Sale of Goods and the application of conflict of law provisions are excluded. The place of jurisdiction in the event of disputes between Linde and the user in connection with this contract is Aschaffenburg.
